These Terms of Service ("Terms") govern your use of phuturedigital.co.za, the Phuture Digital website, our free audit and enquiry flows, PhutureSync product and onboarding pages linked from this website, and the services and digital products provided by Phuture Digital ("we", "us", "our"). By using the site, submitting a form, requesting an audit, creating a PhutureSync account, or engaging our services, you agree to these Terms.

1. About us

Phuture Digital is a Johannesburg-based marketing, branding, automation, and digital product creator. We build brand systems, websites, campaigns, automations, growth infrastructure, reporting layers, and business tools. PhutureSync is Phuture Digital's live operating platform for South African service businesses. Contact us at hello@phuturedigital.co.za.

2. Website use

You may use our website for lawful purposes only. You agree not to:

  • Use the site in a way that damages, overloads, or impairs its availability.
  • Attempt to gain unauthorised access to systems, accounts, source code, or data.
  • Submit false, misleading, unlawful, infringing, or fraudulent information.
  • Use automated tools to scrape, harvest, spam, probe, or attack the site.
  • Upload or transmit malware, harmful code, or content that violates third-party rights.

3. Enquiries, quotes, and strategy calls

Submitting an enquiry, quote request, cart quote, collaboration form, or strategy-call request does not create a contract. A contract is formed only when we send a written proposal, statement of work, invoice, or agreement and you accept it in writing. Quotes are valid for 30 days unless stated otherwise.

4. Free audits and reports

Free audits, Digital Growth Reports, scorecards, AI-assisted summaries, mockups, recommendations, projected lifts, and related outputs are provided for general guidance and lead qualification. They are not a guarantee of rankings, revenue, leads, ad approval, platform approval, or business results. Automated reports may contain errors or miss context that would be visible in a manual review.

You are responsible for ensuring that you have authority to submit any website, brand, or business information for audit. We may decline, throttle, rate-limit, or remove audit access if we suspect abuse, spam, unlawful activity, or excessive use.

5. PhutureSync accounts and platform access

PhutureSync self-serve accounts are available through the product site. Creating an account opens a Free workspace at R0 per month. PhutureSync receives 1.5% only from provider-confirmed successful customer payments on Free, capped at R299 per organization per calendar month. Business is R299 per month and has a 0% PhutureSync payment fee. Paid features activate only after the plan price and terms are shown and Paystack confirms payment. Guided onboarding requests are optional and do not create a paid commitment.

Paystack processing charges, VAT where required, advertising spend, billable WhatsApp conversations and additional AI usage are separate from the PhutureSync plan price or payment fee and are disclosed before purchase or use. Existing customers are never silently repriced; legacy subscriptions keep their recorded terms until an authorised owner completes a provider-confirmed migration or cancellation.

Features explicitly labelled preview, beta or unavailable are not part of a paid production commitment until enabled for your account. The live service, billing, cancellation, support and privacy obligations remain governed by the product policies shown before signup.

6. Services and deliverables

The scope, deliverables, dependencies, timelines, and fees for paid work will be set out in a proposal, invoice, statement of work, or separate agreement. Unless agreed otherwise:

  • Fees are quoted in South African Rand (ZAR), exclusive of VAT unless stated otherwise.
  • A deposit or upfront payment may be required before work begins.
  • Revisions beyond the agreed scope may incur additional fees.
  • Timelines depend on timely access, content, assets, approvals, and feedback from you.
  • Third-party platform delays, policy reviews, outages, or API changes may affect timelines.

7. Payments, refunds, and third-party costs

Payment terms will be stated in the applicable proposal, invoice, or agreement. You remain responsible for approved work completed, committed third-party costs, ad spend, licences, subscriptions, hosting, payment gateway fees, and other external charges. Deposits and third-party costs may be non-refundable once work or procurement has started, unless we agree otherwise in writing or the law requires otherwise.

8. Third-party platforms

Our website, services, audits, campaigns, and systems may depend on third-party platforms such as Supabase, Vercel, Resend, Paystack, Meta, WhatsApp, Instagram, Facebook, Google, LinkedIn, Microsoft Clarity, Canva, hosting providers, analytics tools, and other services. We do not control those platforms and are not responsible for their outages, decisions, ad disapprovals, account restrictions, API changes, policy updates, billing changes, or data practices.

You are responsible for complying with the terms, policies, and legal requirements of any third-party platform you ask us to use or connect for your business.

9. Advertising and platform approval

We may help with Meta, Google, LinkedIn, WhatsApp, email, SEO, content, or other marketing channels. We do not guarantee ad approval, impressions, reach, clicks, conversions, rankings, revenue, or account status. Platform policies and review outcomes can change without notice. You must provide accurate claims, lawful offers, substantiation for advertised statements, and any required licences or permissions.

10. Intellectual property

Unless a proposal or agreement says otherwise, ownership of final custom deliverables transfers to you after full payment. We retain ownership of our pre-existing tools, templates, code libraries, processes, prompts, systems, know-how, frameworks, and reusable components. Third-party assets remain subject to their own licences.

We may display completed work, anonymised results, public campaign examples, or non-confidential outcomes in our portfolio, case studies, and marketing unless you ask us not to in writing.

11. Your content and access

You confirm that you have the rights to provide any content, data, website URL, brand asset, login access, ad account, social account, customer data, or business information you share with us. You remain responsible for the accuracy, legality, and permissions attached to that material. We will use access you provide only to deliver the requested work or support.

12. Confidentiality

We will keep non-public business information you share with us confidential and will not disclose it except where needed to deliver services, operate systems, use approved service providers, protect our rights, or comply with the law. This obligation continues after an engagement ends.

13. Limitation of liability

To the maximum extent permitted by South African law, our total liability for claims arising from the website, free audits, onboarding requests, services, deliverables, or PhutureSync previews is limited to the amount you paid us for the specific service giving rise to the claim in the 12 months before the event. We are not liable for indirect, incidental, special, consequential, punitive, or economic losses, including loss of profits, revenue, goodwill, data, ad account access, rankings, or business opportunity.

14. Termination

Either party may terminate a paid engagement by written notice unless a separate agreement says otherwise. If you terminate after work has started, you remain liable for work completed, time spent, approved scope, committed costs, and non-refundable third-party charges up to the termination date.

15. Privacy

Our handling of personal information is described in our Privacy Policy.

16. Governing law

These Terms are governed by the laws of the Republic of South Africa. Any dispute will be subject to the courts of South Africa, unless a separate written agreement provides another lawful dispute process.

17. Changes

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. Continued use of the site after changes means you accept the revised Terms.
